Altivane Website and Account Terms of Use
In force from
Contents
These terms apply when you use the Altivane website or hold an account on it. The Software is licensed under our End user licence agreement, and our Privacy policy says how we handle personal information.
1. About these terms
1.1 These terms apply to the Altivane Website and Account portal, run by [Legal entity] (ABN [ABN]) of [Address] ("we", "us" and "our").
1.2 They cover the public pages of the Website, creating and using an Account, the User guide and other Content in the Account portal, and the Licences and Downloads shown there as they become available.
1.3 They do not govern the Software or a Licence. The End user licence agreement governs those, with the Licensing service and the Update service, and our Support and maintenance policy covers support for the Software. Clause 7 still applies to all of our services. If these terms and that agreement conflict, the agreement applies.
1.4 By using the Website, you accept these terms as they apply to the Website. When you create an Account, you accept them in full by ticking the box on the sign-up page, which links to these terms and our Privacy policy. If you do not accept them, do not use the Website or the Account portal.
1.5 If you accept these terms for an organisation, you confirm that you are authorised to do so, and "you" includes that organisation.
1.6 Nothing in these terms excludes, restricts or changes a right you have under the Australian Consumer Law that cannot lawfully be excluded. Clause 12 says more.
1.7 Our Privacy policy explains how we handle personal information, including how to see or correct it, how to complain and whether it leaves Australia. It is a separate notice, not part of these terms. Clause 8 summarises it.
2. Definitions
2.1 In these terms, a word in the table below has the meaning set out beside it. The singular includes the plural, and "including" means "including without limitation".
| Term | Meaning |
|---|---|
| Account | Your customer account for the Account portal, created through Microsoft Entra External ID. |
| Account portal | The signed-in part of the Website, where you see your account details, the User guide, Licences and Downloads. |
| Australian Consumer Law | Schedule 2 to the Competition and Consumer Act 2010 (Cth). |
| Business day | A day other than a Saturday, Sunday or public holiday in [State]. |
| Consumer | A person who is a consumer under the Australian Consumer Law. |
| Content | Everything on the Website and in the Account portal: text, pictures, the User guide and its PDF, guides, scripts and examples. |
| Customer | The person or organisation named as the licensee of a Licence, whether it bought the Licence from us or through a Partner. An Account is linked to a Customer's Licences only when the Customer asks us (clause 4.4). |
| Data processing and security statement | Our Altivane data processing and security statement, which covers what the Licensing service and the Update service hold and what a Customer sends us for support. |
| Download | An installer or other file for the Software that we make available in the Account portal, through the Software's update check or from a source we name. |
| End user licence agreement | The Altivane end user licence agreement, which governs each Licence, the Software, the Licensing service and the Update service. |
| Lease | The signed licence the Licensing service gives each activation, kept on your computer, which lets the Software run until it ends: by default 7 days after its last renewal, and never past the end of the Licence. |
| Licence | The right to use the Software that we issue to a Customer, under the End user licence agreement. |
| Licence key | The key that activates the Software against the Licensing service. |
| Licensing service | Our service that checks a Licence key, records each activation and renews its Lease. |
| Microsoft tenant | A Microsoft cloud tenant (such as Microsoft 365, Entra ID or Azure) that the Software connects to. |
| Order | The quote, invoice or other document, from us or from a Partner, that names the Customer and sets out the number of seats, the term and the fees for its Licence. |
| Our services | The Website, the Account portal, the Licensing service and the Update service. |
| Partner | A reseller we have authorised, such as a managed service provider under our MSP partner and reseller agreement. |
| Privacy policy | Our privacy policy at [Website address]/privacy. |
| Software | The Altivane Windows desktop application, including its updates. |
| Support and maintenance policy | Our Altivane support and maintenance policy, which says what support and updates a Licence includes. |
| Tenant data | Anything the Software reads from or writes to a Microsoft tenant, and the reports, documents and logs it makes from it. |
| Update service | Our service that tells the Software whether a newer version is available, and supplies its installer. |
| User guide | The guide to the Software shown to signed-in users at [Website address]/Docs, and its PDF. |
| Website | The website at [Website address], including the Account portal. |
| You | The person using the Website or holding an Account, and the organisation they act for (clause 1.5). |
3. Using the website
3.1 You can read the public pages of the Website without an Account. You may use them to learn about the Software and how to manage Microsoft tenants.
3.2 We aim to keep the Website accurate and current, but it describes the Software in general terms. The version you install, and what it can do in your Microsoft tenants, may differ from a page you read.
3.3 The guides on the Website, and the PowerShell scripts in them, are examples. You may copy, change and run the scripts, free of charge, for your own work and your clients'. Read and test a script before you run it against a Microsoft tenant. Subject to clause 12, you run it at your own risk.
3.4 The roadmap shows the direction we intend to take. Its priorities, scope and order may change, and nothing on it is a promise of a feature or a date.
3.5 We do not publish prices on the Website. A price, quote or offer for a Licence applies only when we or a Partner give it to you in writing. A Partner sets its own prices.
3.6 Where a form on the Website says it cannot send, nothing you type into it is sent or kept.
3.7 The Website links to other websites, such as Microsoft's documentation. We do not control them and are not responsible for what they say or do.
4. Your account
4.1 You need an Account to use the Account portal. You create it and sign in through Microsoft Entra External ID, Microsoft's sign-in service for customer accounts.
4.2 Microsoft runs that sign-in service for us. It holds your name, email address and password for the Account, and handles email verification and password reset. We never see your password.
4.3 To hold an Account you must be at least 18 years old and able to enter a binding contract. Give accurate details and keep them up to date.
4.4 An Account is for 1 person. Do not share your sign-in details. If several people in your organisation need access, each needs their own Account. An Account belongs to the person who made it. It is linked to a Customer's Licences only when the Customer asks us in writing at [Contact email], naming the email address of each Account to link. When that person leaves, the Customer can ask us the same way to remove the link, and we will remove it within 2 Business days.
4.5 Keep your password secure. Tell us at [Contact email] as soon as you think someone else has used your Account. You are responsible for what is done through your Account, except where it was caused by us or happened after you told us.
4.6 After you sign in, the Website keeps your name, email address and Account ID in a cookie in your browser for up to 8 hours, or until you sign out. Sign out when you finish on a shared computer.
4.7 To change a forgotten password, sign out, then select Forgot password? on the sign-in page.
4.8 The Account portal and the Software are made for businesses that manage Microsoft tenants. This does not affect any right you have as a Consumer (clause 12).
5. The user guide and other content
5.1 The User guide is shown only to signed-in users. It explains how to install, activate, update and use the Software, and has a PDF to download.
5.2 While you hold an Account, we give you a non-exclusive, non-transferable licence to read, download and print the User guide. You may use it, and share it with your own staff and contractors, only to use the Software or to decide whether to use it. After your Account closes, you may keep using a copy you downloaded or printed on the same terms, while you or your organisation hold a Licence.
5.3 You must not publish, sell or rent the User guide, or remove a notice from it. Clause 3.3 covers the scripts in the public guides.
5.4 The User guide describes the Software as it was when the guide was published. Its screenshots show Contoso, a fictitious demo company, not a real organisation. Where the guide and the Software differ, follow what the Software shows and tell us at [Contact email].
5.5 We may change, add to or remove parts of the User guide and other Content at any time, for example when the Software changes.
6. Licences, downloads and updates
6.1 The Software is licensed, not sold. Each Licence is issued under the End user licence agreement, for the term and number of seats in its Order.
6.2 We issue every Licence and its Licence key, including a Licence you buy through a Partner, who then passes the key to you. Until the Account portal is linked to the Licensing service, you get each Licence key from us or your Partner directly. When it is, your Licences and their activations will be listed under Licences.
6.3 Keep your Licence key confidential, as you would a password, and do not give it to anyone outside your organisation. We keep only a protected form of the key and its last 4 characters, so we cannot show a lost key again. If you lose it, or think someone else has it, contact us. We will replace it, which stops the old key activating new computers, and deactivate any activation you do not recognise.
6.4 Activation uses 1 seat: 1 Windows user on 1 computer. Another Windows user on the same computer, such as the one a scheduled task runs as, uses another seat.
6.5 While the computer is online, the Software renews its Lease in the background, about once a day. If it cannot reach the Licensing service, it keeps working until its Lease ends, by default 7 days after its last renewal, and warns in the last 2 days before it stops.
6.6 To move a seat, deactivate the old computer in the Software (Help > Licence > Deactivate this computer), then activate the new one with the same key. Uninstalling does not deactivate. If you cannot deactivate, such as after a computer is lost, contact us and we will free the seat.
6.7 We may suspend or end a Licence only as the End user licence agreement allows. The Software learns of it at its next renewal, about once a day while the computer is online, and stops at once. A copy that stays offline runs on until its Lease ends.
6.8 Downloads, such as the Setup program (.exe) and the Windows Installer package (.msi), are for installing the Software under a Licence. Get them only from the Account portal, the Software's own update check or a source we name. Do not change a Download: a changed or re-signed copy of the Software refuses to start.
6.9 The Software checks for a newer version only when you select Help > Check for updates. It downloads the installer from our Update service only when you select Update, checks it, and installs it only when you select Install. Updates released during your Licence term are included, unless your Order says otherwise. Our Support and maintenance policy says which versions we support.
6.10 The Website and the Account portal are free. Prices, payment and refunds for a Licence, including one bought through a Partner, are in the End user licence agreement and your Order, not in these terms.
6.11 We give support for the Software under our Support and maintenance policy. If you bought your Licence through a Partner, contact the Partner for support first.
7. Acceptable use
7.1 When you use our services, you must not:
- break a law, or help someone else break one;
- get around, or try to get around, sign-in, licensing, rate limits or other security;
- open, or try to open, another person's Account, Licences or Downloads;
- probe, scan or test the security of our services without our written permission;
- overload or disrupt our services, or copy the Website in bulk with automated tools;
- share, publish or sell a Licence key or a Download, except as the End user licence agreement allows;
- upload or send anything harmful, such as malware; or
- pretend to be someone else, or misstate your link to an organisation.
7.2 If you find a security weakness in our services, tell us at [Security contact email] and give us 90 days to fix it before you share it. We will not take action against you for finding or reporting it in good faith, if you did not access anyone else's data or disrupt our services.
7.3 Nothing in this clause stops you doing something that the law, such as the Copyright Act 1968 (Cth), allows you to do and that cannot be excluded by contract.
8. Privacy and your data
8.1 We handle personal information under the Privacy Act 1988 (Cth) and the Australian Privacy Principles, and follow them whether or not the Privacy Act requires it of us. Our Privacy policy has the detail; this clause summarises it. For a Customer, our Data processing and security statement also covers what the Licensing service and the Update service hold, and what the Customer sends us for support.
8.2 The table shows what is held, where, why and for how long.
| What | Where it is held | Why | How long |
|---|---|---|---|
| Browsing the public pages | Your browser: the Contact page sets 1 short-lived cookie. There are no analytics, advertising or tracking cookies. Our hosting on Microsoft Azure, Australia East, may log each request, with its IP address and User-Agent | To protect the Contact form from forged submissions, and to keep the Website running and secure | The cookie: short-lived. Request logs: up to 30 days |
| Your name, email address, password and Account ID | Microsoft Entra External ID, possibly outside Australia (clause 8.7) | To create your Account and sign you in | While the Account exists, then up to 30 days (clause 14.5) |
| Your name, email address and Account ID, after sign-in | A cookie in your browser | To keep you signed in | Up to 8 hours, or until you sign out |
| Short-lived cookies while you sign in, and on the Website's forms | Your browser | To complete a sign-in, and to protect forms from forged submissions | Short-lived |
| The Licence: customer and company name, edition, status, dates, seats, the features it turns on, our notes, a protected form of the key and its last 4 characters | Licensing service, Microsoft Azure, Australia East | To issue and manage the Licence | While the Licence runs, then 2 years |
| Each activation: an installation ID and its public key, a hash of the computer and Windows user, the computer's name, the Software's version, when it was first activated and last seen | Licensing service | To count seats and renew the Lease | While the Licence runs, then 2 years |
| Each activation, renewal or deactivation request, granted or refused, with its IP address and User-Agent | Licensing service, audit history | Security, and to explain a refusal | 2 years from each entry |
| The Licensing service's diagnostic logs: each request, its result and timing, and events such as a refusal, named by installation and Licence ID. They can hold IP addresses | Application Insights and Log Analytics, Microsoft Azure, Australia East | To keep the service running and find faults | 30 days |
| An update check: the product, channel, processor type, version and build, and the IP address it comes from | Update service, Microsoft Azure, Australia East | To offer a newer version, and to limit how often 1 address can check | Request logs: 30 days. A daily count of checks for each version, which names no one, is kept |
| Messages you send us, and anything you attach, such as a support bundle (clause 8.5) | Our email provider, which our Privacy policy names | To reply to you and help you | Tenant data and support bundles: 30 days after the request closes (clause 8.5). Other messages, and our record of each support request: 2 years after it closes |
| Tenant data, settings, logs, change logs, kept data, AI keys and the sign-in cache | Your computer, and the output folder you choose for reports, documents and change logs. We receive Tenant data only if you send it to us (clause 8.5) | To run the Software | As you choose. Kept data: 7 days by default. Diagnostic log: 14 days |
8.3 The Software runs on your computer and, to read and change a tenant, connects only to Microsoft's online services. Tenant data stays on your computer and in the output folder you choose. Kept data, AI keys, the sign-in cache and the Lease are encrypted for your Windows account. The Software also contacts the Licensing service and, when you ask, the Update service, but sends neither of them any Tenant data. We do not host Tenant data or process it for you, except what you choose to send us (clause 8.5). You remain responsible for it under your own agreements with your clients and with Microsoft.
8.4 AI summaries are off until you add an AI provider of your own, turn them on in Settings and turn them on for each tenant you choose. The Software then sends that tenant's scorecard report headings, status counts and summary figures straight to that provider. They are drawn from Tenant data, with names, addresses and IDs replaced first. The writing profile's instructions go with each summary. Turn summaries on only for a tenant whose data you are allowed to send to that provider. Nothing passes through us, and your agreement with that provider applies. Build with AI, on the Software's Blueprints page, uses the same provider: only when you select Build, it sends the description you typed and a description of the Blueprint format straight to that provider, and nothing from a tenant.
8.5 We receive Tenant data only when you send it to us, such as in a support bundle or a message. A support bundle is a .zip file the Software saves where you choose and sends nowhere, and its logs can name your tenants, people and devices. Check what you send, and send it only if your agreements with your clients allow it. We use it only to help you, share it only with the providers that run our services, and delete it within 30 days after the support request closes, unless you ask us to keep it longer.
8.6 We do not sell personal information, use it for advertising or use it to train AI models. We share it only with the providers that run our services, such as Microsoft for sign-in and hosting and our email and accounting providers; with a Customer, and the Partner it bought through, about its own Licences, such as which computers use its seats; with our advisers and insurers; with a buyer of our business, which must keep to our Privacy policy; or where the law requires.
8.7 The Website, the Licensing service, the Update service and the forms service run on Microsoft Azure in Australia East. Microsoft Entra External ID holds Account data. Our External ID tenant was set up without Microsoft's Go-Local add-on, so Microsoft may store that data outside Australia. Our Privacy policy names the countries, and for any personal information held outside Australia we take the steps APP 8 of the Privacy Act requires.
8.8 To see or correct what we hold about you, or to complain, write to [Privacy contact email]. We reply within 30 days. If you are not satisfied, you can complain to the Office of the Australian Information Commissioner.
8.9 If a data breach is likely to cause you serious harm, we will tell you and the Office of the Australian Information Commissioner, as the Notifiable Data Breaches scheme requires. We do this whether or not the Privacy Act requires it of us.
8.10 Forms we ask you to sign are kept in a separate forms service. We keep a signed form for 7 years after it is signed, and everything else there for 2 years after you last use the service. Our Privacy policy says what the service holds.
9. Intellectual property and feedback
9.1 We or our licensors own the Website, the Content, the Software and the Altivane name and logo. These terms give you only the rights they state.
9.2 Microsoft, Entra, Exchange, Intune, SharePoint, Teams, Defender and Azure are trade marks of Microsoft. We use them only to name the services the Software works with. Microsoft does not sponsor or endorse us.
9.3 If you give us feedback or ideas, we may use them without paying or naming you. We will not name you or your organisation publicly without your consent.
9.4 You keep what you own in anything you send us, such as a message or a support bundle. You let us use it only to help you and to run our services.
10. Third-party services
10.1 The Website and the Account portal rely on services run by others, including Microsoft Entra External ID for sign-in and Microsoft Azure for hosting.
10.2 The Software works with Microsoft cloud services under your own agreements with Microsoft. Some features need a Microsoft licence or role in the tenant, or a PowerShell module from Microsoft, and the Software says what is missing. Microsoft may change its services or APIs, which can change or stop a feature.
10.3 If you use AI summaries or Build with AI, the AI provider is yours: Anthropic, a service that uses the OpenAI API (including Azure OpenAI) or a model on your own computer. Its terms and charges are between you and that provider.
10.4 We are not responsible for a third-party service, except to the extent that we caused the problem or clause 12 says otherwise.
11. Availability and changes to the website
11.1 We aim to keep the Website and the Account portal available, but they may be unavailable at times, such as during maintenance or an outage at Microsoft. We try to give notice on the Website 2 Business days before planned maintenance.
11.2 The Software does not need the Website to run. A short outage of the Licensing service does not stop it: it keeps working until its Lease ends, as clause 6.5 says.
11.3 We may change, add or remove features of the Website or the Account portal. We will give 30 days' notice before we remove Licences or Downloads from the Account portal. A change here does not change a Licence, which the End user licence agreement governs.
12. Australian Consumer Law
12.1 If you are a Consumer, our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. They include that services are supplied with due care and skill, and that goods, which include software, are of acceptable quality and fit for a purpose you made known to us.
12.2 These terms give no warranty against defects. Where we give one, it is in the End user licence agreement or the Support and maintenance policy, with the statement the Competition and Consumer Regulations 2010 (Cth) require.
12.3 Where the goods or services are not of a kind ordinarily acquired for personal, domestic or household use, and it is fair and reasonable, our liability for failing to meet a guarantee, other than a guarantee under sections 51, 52 or 53 of the Australian Consumer Law (title, undisturbed possession and undisclosed securities), is limited to:
- for services, supplying them again or paying the cost of having them supplied again; and
- for goods, replacing or repairing them, or paying the cost of doing so.
12.4 Every other clause of these terms, including clause 13, is subject to this clause.
12.5 We intend every term to be fair. If a court finds a term unfair or unenforceable, that term is read down or severed, and the rest continues.
13. Liability
13.1 Subject to clause 12, the public pages and their Content are free and provided as they are. We do not promise that they are free of errors or always available.
13.2 Subject to clause 12, neither of us is liable to the other under or in connection with these terms, in contract, tort (including negligence), statute or otherwise, for loss of profit, revenue, savings, business opportunity or goodwill, or for indirect or consequential loss. Indirect or consequential loss means only loss that does not arise naturally, in the usual course of things, from the breach or event that caused it.
13.3 Subject to clause 12, each party's total liability to the other under or in connection with these terms, in contract, tort (including negligence), statute or otherwise, is limited to AUD [amount].
13.4 Each party's liability is reduced to the extent that the other party, or someone acting for it, caused or contributed to the loss.
13.5 Nothing in these terms limits liability for fraud, wilful misconduct, death or personal injury, or for anything else the law does not allow to be limited.
13.6 Liability for the Software, the Licensing service and the Update service, including the changes the Software makes in a Microsoft tenant when you run them, is dealt with in the End user licence agreement, not here.
13.7 You are responsible for loss we suffer because you, or someone using your Account or Licence key with your permission, breaks clause 7. This is reduced to the extent we caused or contributed to the loss, and is subject to the cap in clause 13.3.
14. Suspending and closing an account
14.1 You can close your Account at any time by writing to [Contact email] from the Account's email address.
14.2 We may suspend or close your Account:
- if you break these terms in a serious way and do not fix it within 14 days of our notice;
- at once, if the breach cannot be fixed or puts our services, other customers or a Microsoft tenant at risk; or
- if the law requires it.
14.3 We may close an Account that has not been used for 2 years, after 30 days' notice to its email address. If we stop offering the Account portal, we will give 30 days' notice.
14.4 Closing an Account does not by itself end a Licence or deactivate the Software. The End user licence agreement deals with that, and installed copies keep working and renewing under the Licence, as clause 6 says.
14.5 After an Account closes, we delete it from Microsoft Entra External ID within 30 days. We keep Licence records and the audit history for the periods in clause 8.2, as the End user licence agreement also says, and longer where the law requires.
14.6 Clauses 5.2 (for copies you keep), 5.3, 7, 9, 12, 13, 14.5 and 16, and any other clause meant to last, continue after an Account closes.
15. Changes, notices and contact
15.1 We may change these terms. The version in force, with the date it took effect, is always at [Website address]/terms.
15.2 If a change could disadvantage you in a material way, we will email your Account's address at least 30 days before it takes effect. If you do not agree, you may close your Account before then. Closing it does not end a Licence (clause 14.4).
15.3 Other changes, such as clearer wording or a new feature, take effect when we post them.
15.4 We send notices to your Account's email address. An email notice is received when it is sent, unless the sender learns it was not delivered. One received after 5 pm, or on a day that is not a Business day, counts as received on the next Business day. We send you news about Altivane only if you agree to receive it, and each message has a way to unsubscribe, as the Spam Act 2003 (Cth) requires.
15.5 Send notices and questions to us as follows.
| For | Contact |
|---|---|
| Questions and notices | [Contact email] |
| Support for the Software | [Support email address], or your Partner if you bought through one (clause 6.11) |
| Privacy, access and correction | [Privacy contact email] |
| Security weaknesses | [Security contact email] |
| Post | [Legal entity], [Address] |
16. Governing law, disputes and general
16.1 These terms are governed by the law of [State], Australia. Each of us submits to the non-exclusive jurisdiction of the courts of [State] and the courts that hear appeals from them.
16.2 If a dispute arises, tell us in writing at [Contact email]. We will both try in good faith to resolve it within 20 Business days. If we cannot, either of us may go to court, or we may agree to try mediation first.
16.3 Nothing in clause 16.2 stops urgent court action, or stops you contacting the ACCC, a state or territory consumer protection agency or the Office of the Australian Information Commissioner.
16.4 Times and dates in these terms are in Sydney time.
16.5 Neither of us is liable for a delay or failure caused by something beyond our reasonable control, such as an outage at Microsoft, if we tell the other and take reasonable steps to limit it.
16.6 You may not transfer your Account or these terms without our written consent. We may transfer them to a business that takes over the Website, after notice to you, if your rights are not reduced.
16.7 A delay or failure in using a right is not a waiver of it.
16.8 These terms are the whole agreement between us about the Website and the Account portal. The End user licence agreement governs the Software and each Licence. Our Privacy policy is a notice and not part of these terms.
16.9 Nothing in these terms makes us partners, agents or employees of each other.
